- IMPORTANT NOTES TO AWARDED SUPPLIERS:
(a) All Terms & Conditions contained in the IFB for MC14-C04 the bidder's response to the IFB and subsequent negotiation shall carry forward to this contract in their entirety without exceptions.
(b) Contract holders must remain in compliance with all applicable laws, regulations and certifications as it pertains to the safety, performance and environmental requirements of their products and services. Further, it is the contract holder's responsibility to know and follow all state laws with regard to the sales of their respective product within the state the MHEC member resides.
(c) All discounts shall remain firm throughout the term of the contract. If available, promotional prices, higher discounts, and volume discount prices may be offered to the member at the time of their purchase. Members may inquire from contract holders if such promotions are available.
(d) Any order issued by an MHEC member is an agreement between the individual member and the bidder, not the MHEC organization, or other MHEC Members in part or total.
(e) Contract holders must make every effort to determine if purchasers are MHEC members to assure that MHEC pricing and benefits will be applied if applicable. Any customer who meets the MHEC criteria for MHEC Membership should offered the contract pricing.
(f) It is the individual contract holder's responsibility to market their products and services to the MHEC membership and to continue to promote sales volume through quality and superior service. - IMPORTANT NOTES TO MEMBERS:
(a) All suppliers have signed the MA Standard Contract Form and Commonwealth Terms and Conditions. Copies are available upon request with the MHEC. The supplier agrees that by signing this contract, all contract terms and rights in the Commonwealth of Massachusetts contract shall inure to the benefit of the MHEC and its members thereby placing the MHEC and its members in the same position as the Commonwealth, including but not limited to the terms and conditions that are found in the Commonwealth Terms and Conditions Form and/or the certifications made by the Contractor by signing the Commonwealth Standard Contract Form.
(b) Some suppliers awarded to this contract may require that members enter into specific purchase agreements. Due to the specific nature of these agreements, the MHEC has not vetted these agreements. Therefore, members considering entering into these agreement are strongly encouraged to submit these documents to their legal counsel for review. Also, members may consider adding to purchase agreements: The terms and conditions shall not supersede the MHEC MC14-C04 contract terms and conditions.
(c) Proof of compliance: Upon request, contract holders (if applicable to their specific product) shall provide certification from an approved fire test laboratory stating that their product confirms with all applicable provisions of local, state and federal fire codes or other safety certifications.
(d) Contract holders have been listed in alphabetical order, not necessarily in order of "best rates" or "best discount" and the largest discount may not represent the best price.
(e) Use of the contract is left to the discretion of each respective member organization. No guarantee of volume has been made to the vendors.
