No modifications have been made to this contract.
- All Terms & Conditions contained in the IFB for MC13-C05 the bidder's response to the IFB and subsequent negotiation shall carry forward to this contract in their entirety without exceptions.
- All suppliers have signed the MA Standard Contract Form and Commonwealth Terms and Conditions. Copies are available upon request with the MHEC. The supplier agrees that by signing this contract, all contract terms and rights in the Commonwealth of Massachusetts contract shall inure to the benefit of the MHEC and its members thereby placing the MHEC and its members in the same position as the Commonwealth, including but not limited to the terms and conditions that are found in the Commonwealth Terms and Conditions Form and/or the certifications made by the Contractor by signing the Commonwealth Standard Contract Form.
- Any order issued by an MHEC member is an agreement between the individual member and the bidder not the MHEC organization, or other MHEC Members in part or total.
- All discounts shall remain firm throughout the term of the contract. If available, promotional prices, higher discounts, and volume discount prices may be offered to the member at the time of their purchase. Members may inquire from supply partners if such promotions are available.
- Some suppliers awarded to this contract may require that members enter into specific purchase agreements. Due to the specific nature of these agreements, the MHEC has not vetted these agreements. Therefore, members considering entering into these agreement are strongly encouraged to submit these documents to their legal counsel for review. Also, consider adding to purchase agreements: The terms and conditions shall not supersede the MHEC MC13-C05 contract terms and conditions.
- Use of the contract is left to the discretion of each respective member organization. No guarantee of volume has been made to the suppliers.
- Suppliers must make every effort to identify purchasers contacting them to determine MHEC membership and extend the MHEC pricing and any benefits. Any customer who meets the MHEC criteria for membership will be afforded the opportunity to join the MHEC prior to finalizing the sale.
- The supplier will ship and bill the material requested on each purchase order directly to the respective member organization.
- Suppliers are required to market products and services to the MHEC membership directly and continue to promote sales volume through quality and superior service.
- Depending on state in which you are doing business, suppliers may have to adhere to state mandatory mattress recycling programs.
